Terms of Service

This document was drafted to accurately describe how HectareWise actually works, based on the application's real functionality and data practices. It has not been reviewed by a lawyer. If you rely on these Terms for a commercial launch, fundraising, or any situation with real legal exposure, have them reviewed by a qualified New Zealand lawyer before treating them as final.

These Terms of Service ("Terms") govern your use of the HectareWise website and application (together, the "Service"), operated by HectareWise ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What HectareWise Is

HectareWise is a land-use analysis tool for New Zealand properties. You draw or select an area of land, and the Service generates estimates covering soil, climate, suitability for different land uses, and indicative financial modelling (revenue, costs, ROI, NPV, IRR and similar metrics) for a range of agricultural and development options.

2. Estimates, Not Advice

This is the most important section of these Terms, so we're stating it plainly: the figures HectareWise produces are estimates, generated from regional data, modelling assumptions, and (where available) third-party data sources. They are provided for general informational purposes only.

HectareWise is not a substitute for professional agricultural, financial, legal, engineering, or resource-management advice. Before making any investment, land-use change, purchase, or development decision, you should seek advice from an appropriately qualified professional (e.g. a farm consultant, registered valuer, accountant, or resource management planner) and verify any figures that matter to your decision independently. We do not guarantee the accuracy, completeness, or currency of any output, and we are not liable for decisions made in reliance on it.

3. Accounts

To save analyses or access certain features, you need an account. During the private beta, accounts are by invitation only. You sign in with your email address and a password. You're responsible for keeping your password secure, and for all activity under your account.

You must provide accurate information when creating an account, and you must not create an account on behalf of someone else without their permission.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose, or in a way that infringes anyone else's rights;
Attempt to gain unauthorised access to the Service, other users' accounts, or our systems;
Interfere with or disrupt the Service (e.g. excessive automated requests, attempts to overload our infrastructure or our third-party data providers);
Reverse engineer, scrape, or resell the Service or its outputs at scale without our written permission;
Misrepresent HectareWise-generated estimates as verified, professional, or official data when presenting them to third parties (e.g. lenders, regulators, or buyers) without disclosing that they are software-generated estimates.

5. Your Content

You retain ownership of the land selections, property names, and notes you save in the Service. By saving content, you give us permission to store and process it for the purpose of providing the Service to you (e.g. displaying your saved properties back to you, generating reports and exports).

6. Intellectual Property

The Service itself - including its software, design, branding, and the underlying analysis methodology - belongs to HectareWise or our licensors. These Terms don't grant you any rights to our intellectual property beyond what's needed to use the Service as intended.

7. Third-Party Data and Services

The Service draws on regional NZ data and, where available, external data providers, and relies on third-party infrastructure (including authentication, hosting, and mapping services) to operate. We don't control these third parties and aren't responsible for their availability or accuracy. See our Privacy Policy for more detail on which third parties we use and why.

8. Service Availability

We aim to keep the Service available, but we don't guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service, including free-tier limits, at any time.

9. Limitation of Liability

To the maximum extent permitted by New Zealand law, HectareWise is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential loss (including lost profits or lost land-use opportunities) arising from your use of, or inability to use, the Service, or from decisions made based on its output. Nothing in these Terms limits any right you have under the Consumer Guarantees Act 1993 that cannot lawfully be excluded.

10. Termination

You may stop using the Service and request deletion of your account at any time (see our Privacy Policy for how). We may suspend or terminate accounts that breach these Terms.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above. Continued use of the Service after a change means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of New Zealand, and any dispute will be subject to the exclusive jurisdiction of the New Zealand courts.
